Organiser Terms
Fee for online event sign-ups and payments
Version: 2026-10-23 · Effective from: 23 October 2026
§1. Parties and scope
- These Terms govern the paid use of online sign-ups and payments for events (e.g. competitions, workshops, classes) in the Just Climb app and on justclimb.it (the "Platform") where participants' payments are processed by the Organiser's own payment gateway — Tpay, PayU, Paynow or Przelewy24 (the "Gateway") — or by the Organiser's Stripe account ("Stripe").
- The service is provided by 5517 Tomasz Teter, ul. Obrońców Westerplatte 6, 27-600 Sandomierz, Poland, NIP 8641934806, REGON 381009106, e-mail: support@justclimb.it (the "Platform Operator").
- The Organiser is the climbing gym, club or other entity that runs the event and has entered its invoice details in the payment method. The person accepting these Terms confirms that they are authorised to enter into obligations on the Organiser's behalf.
- This is a business-to-business agreement. Where the Organiser is a consumer or a person to whom consumer law applies, that law also applies.
- These Terms supplement the Platform Terms. On the Organiser's fees, these Terms prevail. The Organiser's relationship with participants is governed by the Terms of Purchase.
§2. Conclusion of the agreement
- The agreement covers a single event. It is concluded when the Organiser ticks the box accepting the price list and these Terms in the event's pricing and saves the settings. Without this acceptance a paid event cannot be published.
- The Platform Operator records the acceptance: who accepted and when, the version of these Terms, the rates, the invoice details and the IP address. A confirmation with the accepted wording is e-mailed to the accepting person and to the invoice address (documentary form, art. 77² of the Polish Civil Code).
§3. Fee
- For an event paid through a Gateway the Organiser pays the Platform Operator the following net amounts, plus VAT at the applicable rate (currently 23%):
- PLN 2.99 net for each participant whose entry fee was paid,
- PLN 1.00 net for each paid add-on item (e.g. two T-shirts are two add-ons).
- No fee is charged for unpaid entries, entries that expired or were cancelled before payment, free add-ons or free events.
- The fee is also due when a participant withdraws or is removed after paying — unless the Organiser refunds the whole payment and, before the invoice is issued, sends the Platform Operator the refund confirmation from the Gateway's panel. No fee is charged either for payments that did not secure a place (e.g. a duplicate payment), marked in the Platform as "refund due".
- The rates in force at acceptance apply to the event. A change of the price list does not affect events whose rates have already been accepted; new rates require a new acceptance.
- The Gateway's and Stripe's own processing fees are settled by the Organiser directly with them under its own agreement.
- For an event paid through Stripe the Platform Operator takes 5% of each participant's payment, at least PLN 2 (for other currencies — the minimum shown in the event's pricing in the app) and never more than 20% of the payment. The fee is deducted automatically by Stripe when the payment is made; the Organiser does not pay it separately. If the Organiser refunds a participant's whole payment, the Platform Operator, on request and with the refund confirmation from Stripe, returns the fee taken from that payment.
§4. Settlement and invoice (Gateway)
- After sign-ups close, the Platform Operator issues a VAT invoice to the invoice details given in the payment method (company, tax number, address) and sends it to the e-mail address given there, together with a breakdown of paid entries and add-ons. The Organiser agrees to receive invoices electronically.
- Payment is due within 14 days of the invoice date, by bank transfer to the account stated on the invoice.
- Late payment carries statutory interest for delay in commercial transactions and compensation for recovery costs under the Polish Act of 8 March 2013 on counteracting excessive delays in commercial transactions.
- If payment is more than 14 days overdue, the Platform Operator may — after a prior reminder by e-mail — suspend the Organiser's ability to publish further paid events until payment is made.
- Objections to a breakdown or invoice are sent to support@justclimb.it within 14 days of receipt. On request, the Platform Operator provides the list of payments the fee was calculated from.
§5. Participants' payments and refunds
- Towards participants, the Organiser is the seller. It contracts with the Gateway or with Stripe in its own name, and participants' payments go directly to its Gateway or Stripe account. The Platform Operator does not receive, hold or transfer that money.
- Withdrawals, cancellation or changes of the event, complaints and refunds to participants are handled solely by the Organiser — on its own, in its Gateway's or Stripe panel, in line with the Terms of Purchase and the law. The Platform Operator makes no refunds and is not liable for them.
- The Organiser is responsible for the accuracy of its seller and invoice details and for keeping them up to date in the payment settings.
§6. Final provisions
- The Platform Operator may amend these Terms. An amendment applies only to events for which the Organiser accepts the new version; events accepted earlier are settled under the version in force at acceptance.
- This agreement is governed by Polish law. Disputes between businesses are resolved by the court competent for the Platform Operator's registered address.
